Terms of Service

1. About these Terms
These Terms of Service ("Terms") govern your access to and use of the Keystone Governance website ("the Site") and any related services we provide. By accessing the Site or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use the Site. Keystone Governance ("Keystone", "we", "us", "our") is an Australian-based governance and advisory firm.
2. Nature of our Services
Keystone Governance provides WHS governance advisory, system architecture, and assurance services to directors, officers, and business owners. Our services are advisory in nature. While we draw on extensive industry experience and apply our judgment to your specific circumstances, our outputs are intended to support — not replace — your own legal, regulatory, and operational decision-making. We are not a law firm. We do not provide legal advice. Where regulatory or legal questions arise, we recommend you engage qualified legal counsel.
3. Engagements and Fees
The specific scope, deliverables, timelines, and fees for any engagement will be set out in a separate written agreement or proposal. These Terms apply to that engagement except where the engagement letter explicitly says otherwise.
4. Confidentiality
We treat all client information as strictly confidential and only share it with members of our team who need to access it to deliver the engagement. We expect the same standard of confidentiality from you in relation to our proprietary frameworks, methodologies, and deliverables.
5. Intellectual Property
All content on the Site — including text, frameworks, diagrams, and brand materials — is the property of Keystone Governance or its licensors. You may not reproduce, distribute, or commercially exploit any of it without our written permission. Where we deliver custom materials to a client as part of an engagement, ownership and licensing arrangements are governed by the engagement letter.
6. Limitation of Liability
To the maximum extent permitted under Australian law, Keystone Governance is not liable for any indirect, consequential, or incidental loss arising from your use of the Site or our services. Nothing in these Terms excludes any rights you have under the Australian Consumer Law that cannot lawfully be excluded.
7. Third-Party Links
The Site may contain links to third-party websites. We provide these for convenience only and are not responsible for the content, accuracy, or practices of any third-party sites.
8. Changes to these Terms
We may update these Terms from time to time. The most recent version will always be available on this page, with the "Last updated" date reflecting the most recent change.
9. Governing Law
These Terms are governed by the laws of New South Wales, Australia. Any dispute arising in connection with these Terms is subject to the exclusive jurisdiction of the courts of New South Wales.
